TERMS OF SERVICE

These Terms constitute a legally binding agreement between you and STAX AI Business OS.
Please read these Terms of Service ("Terms," "Agreement") carefully before accessing or using any website, product, digital download, template, membership, course, toolkit, or service (collectively, "Services") offered by STAX AI Business OS ("STAX," "Company," "we," "us," or "our"). By accessing or using any part of our Services, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately discontinue your use of our Services.
1. Acceptance of Terms
These Terms apply to all visitors, users, purchasers, members, and others who access or use our Services. By creating an account, completing a purchase, downloading any file, or otherwise accessing our Services, you represent that: (a) you are at least 18 years of age or the age of majority in your jurisdiction; (b) you have the legal capacity to enter into a binding contract; and (c) you are not prohibited from receiving services under the laws of the United States or any other applicable jurisdiction. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Description of Services
STAX AI Business OS provides a multi-tier ecosystem of digital products and services, including but not limited to:
- Free Resources — downloadable roadmaps, guides, and educational content available at no charge.
- Low-Ticket Products — digital templates, automation toolkits, and starter kits available for a one-time purchase fee.
- Membership Plans — recurring subscription access to exclusive content, templates, tools, and community resources.
- Premium Toolkits — advanced AI system frameworks, agent templates, and proprietary methodologies.
- Consulting & Agency Services — custom AI implementation, strategy, and done-for-you automation services.
We reserve the right to modify, suspend, discontinue, or add to any aspect of our Services at any time, with or without notice, and without liability to you.
3. User Accounts & Registration
Certain Services require account registration. When creating an account, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the security of your login credentials and be responsible for all activity under your account; (d) notify us immediately of any unauthorized account use at support@stax.bywillo.ai; and (e) not share, sell, or transfer your account to any third party. We reserve the right to suspend or terminate accounts that violate these Terms or that contain false, inaccurate, or misleading information.
4. Purchases, Pricing & Payment
All prices are stated in United States Dollars (USD) unless otherwise indicated. By submitting a purchase, you authorize STAX to charge the applicable fees to your designated payment method. You represent that you are authorized to use the payment method provided. All sales are final upon completion of the transaction. STAX partners with Stripe, Inc. as its payment processor; by making a purchase, you also agree to Stripe's terms of service. Prices are subject to change at any time; price changes will not affect purchases already completed.
Subscription Billing: Membership plans are billed on a recurring basis (monthly or annually, as selected). By subscribing, you authorize STAX to automatically charge your payment method at the start of each billing cycle. Subscriptions renew automatically unless cancelled at least 24 hours prior to the renewal date. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. No pro-rated refunds are provided for partial billing periods.
5. No Refund Policy
ALL SALES ARE FINAL. STAX OPERATES A STRICT NO-REFUND POLICY ON ALL PRODUCTS AND SERVICES. Because our offerings consist entirely of digital products, downloadable files, templates, AI tools, and immediately accessible membership content — all of which are delivered and accessible immediately upon purchase — we do not offer refunds, exchanges, or credits under any circumstances, including but not limited to: change of mind; failure to use the product; dissatisfaction with results; technical incompatibility; or duplicate purchases made in error. By completing a purchase, you expressly acknowledge and agree to this no-refund policy. Please review all product descriptions thoroughly before purchasing. Note: In jurisdictions where applicable consumer protection laws provide mandatory refund rights that cannot be contractually waived, those statutory rights are unaffected by this policy. Contact us if you believe a statutory right applies to your situation.
6. Intellectual Property Rights
All content, materials, templates, frameworks, methodologies, software, graphics, text, audio, video, and other works available through our Services (collectively, "Content") are the proprietary intellectual property of STAX AI Business OS or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Personal License Grant: Upon purchase, STAX grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the purchased digital product(s) for your own personal or internal business purposes only. This license does not include the right to: (a) reproduce, distribute, publicly display, or create derivative works of any Content for resale or redistribution; (b) share, sell, sublicense, rent, lease, or otherwise transfer your license or any Content to any third party; (c) use any Content to train, develop, or fine-tune any artificial intelligence or machine learning model without express written permission; (d) remove or alter any proprietary notices, watermarks, or labels; or (e) use any Content in a manner that competes with STAX's business.
Violation of this Section may result in immediate termination of your license, account suspension, and pursuit of all available legal remedies, including injunctive relief and damages.
7. User Conduct & Prohibited Uses
You agree not to use our Services to:
- Violate any applicable local, state, federal, or international law or regulation;
- Infringe upon or misappropriate any intellectual property or proprietary rights of any party;
- Transmit any unauthorized advertising, promotional materials, spam, or solicitation;
- Impersonate any person or entity, or falsely state your affiliation with any person or entity;
- Engage in any conduct that restricts or inhibits any other user from using or enjoying the Services;
- Introduce any viruses, trojan horses, worms, or other malicious code;
- Attempt to gain unauthorized access to any portion of the Services or any related systems or networks;
- Harvest, scrape, or collect personal data about other users without consent;
- Use our brand, name, or likeness without prior written authorization.
8. Earnings & Income Disclaimer
STAX AI Business OS provides business education, tools, and frameworks. Any income or earnings figures referenced on our website, in our products, or in our marketing materials represent illustrative projections or examples only — they are not guarantees, promises, or representations of typical results. Individual results will vary significantly based on effort, experience, market conditions, business acumen, and numerous other factors outside STAX's control. There is no guarantee that you will earn any specific amount of income or that you will earn any income at all from using our products or Services. Business involves risk. You acknowledge that past performance is not indicative of future results and that you are solely responsible for your own business decisions.
9. Disclaimer of Warranties
THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STAX EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. STAX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAX AI BUSINESS OS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF STAX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL STAX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO STAX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
11. Indemnification
You agree to indemnify, defend, and hold harmless STAX AI Business OS and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services; (c) your violation of any third-party rights, including intellectual property rights; (d) your violation of any applicable law or regulation; or (e) any content you submit, post, or transmit through the Services.
12. Third-Party Links & Services
Our Services may contain links to third-party websites, tools, or services that are not owned or controlled by STAX. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. We do not warrant the offerings of any third parties. We encourage you to review the terms and privacy policies of any third-party sites you visit.
13. Termination
We reserve the right, in our sole discretion, to suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. Upon termination: (a) your license to use any purchased content converts to a perpetual personal-use-only license unless terminated for cause; (b) membership access ceases at end of the current billing period; (c) provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall first be submitted to non-binding mediation. If mediation does not resolve the dispute within sixty (60) days, the parties agree to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in English. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION PROCEEDING.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify registered users by email. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
16. Severability & Entire Agreement
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy, Refund Policy, Cookie Policy, and any other policies incorporated by reference, constitute the entire agreement between you and STAX with respect to the subject matter hereof and supersede all prior agreements, negotiations, and understandings.
